Carrier is looking for a Corporate Governance and Legal Operations Specialist to provide corporate secretarial support, perform litigation matter management bill processing and optimize legal technology solutions platforms.  We are seeking an experienced legal operations professional with knowledge and highly developed technical expertise in Corporate Secretarial, Legal Operations and Litigation Management. You will ensure implementation of improvements to processes to enhance department performance and effectiveness. 


About this role:

This role will be responsible for assisting the Corporate Secretary with managing the corporate governance calendar, coordinating meetings and communications between management and the Board of Directors, maintaining and updating corporate records, including minute books and corporate databases, drafting, reviewing, and editing corporate governance documents, including corporate certificates and resolutions, and Board of Director meeting materials and supporting the preparation of periodic regulatory filings. The role will assist the Sr. Dir. of Legal Operations with the optimization of legal technical platforms, including the TeamConnect and Docusign Contract Lifecycle Management (CLM) and e-signatures tools. The role will assist the Sr. Dir. of Litigation and Risk Management with matter management, bill processing and accounts payable systems.


Key Responsibilities:

  • Assist in administering and operating Legal Department tools and technology.
  • Drive operational efficiencies and process improvements while also developing, documenting, and enforcing internal controls to create consistency throughout the department.
  • Manage corporate governance calendar and Board communications.
  • Maintain corporate records.
  • Draft corporate governance documents,
  • Maintain matter management, legal billing, and the accounts payable systems.
  • Develop and conduct training for Business Unit representatives.
  • Develop standard work and standard processes for corporate sec., legal operations, and litigation management.
  • Participate in departmental projects, particularly those relating to contract process and improvement.


Required Qualifications:

  • Bachelor’s degree
  • 1-3 years of experience in corporate sec

Preferred Qualifications:

  • Experience in legal matter management systems preferred.
  • Proficient knowledge of and prior experience with legal technology tools and applications related to Corp Sec., legal operations, matter management, bill processing and accounts payable systems. 
  • The candidate should communicate well, including writing, speaking, and listening. 
  • This candidate will work with a variety of people, both inside and outside of the organization, including cross-functional teams and senior leadership. 
  • The candidate must have the ability to maintain confidentiality and to operate in the role with the highest ethical standards and professionalism.
  • The candidate must have excellent analytical and communication skills.
  • The candidate must be organized and proactive and have the ability to operate independently in a fast-paced environment, prioritize a dynamic workload, and possess exceptional attention to detail.
